The Directors are looking to conduct a sale of the shares, or business and assets, of the Company. The Company is an air conditioning & heating system installation and maintenance business, offering services across the South East of England/South Midlands area. The Company principally operates from leasehold premises in South West London, with 3 years remaining on the lease.
The Company offers a wide range of services, including the installation and maintenance of: air conditioning, comfort cooling, ventilation, heating, plumbing or public health services, boiler services, renewable technologies. In addition, the Company offers services in: plumbing and drainage, building management systems, electrical and full-site planned maintenance.
The Company employs 21 full time employees, comprising 2 Directors, 1 sales director, 5 maintenance staff, 5 plumbing staff, 3 design staff, 4 finance/administration staff and 1 cleaner.
Assets available for sale include an operational business, debtor book, future orders/projects, fixtures, fittings, office furniture and computer equipment and plant & machinery.
Turnover per management accounts for the year ended 31 May 2020 was c.£9.2m, and earlier years’ statutory accounts show c.£13.5m to 31 May 2019 and c.£14.7m to 31 May 2018.
To protect the Company’s goodwill and trade, it is proposed that any sale will need to be completed as quickly as possible and, as such, this opportunity is only likely to be available for a short period of time.
Following receipt of expressions of interest, and a signed Non-Disclosure Agreement, brief sales particulars will be provided via a data room. Offers for the purchase of the business and/or its assets as a going concern, by way of sealed bids, need to be sent to Smith Cooper by 12 noon on 26 February 2021, together with evidence of funding.
